What’s included in the Valuation Report? +
- Enterprise and Equity (Fair Market) Values based on adjusted EBITDA (earnings before interest, tax, depreciation and amortization) over 2 years, using multiples of 3 and 5.
- Reconstructed Income Statements and Current Balance Sheet to calculate an adjusted EBITDA and Working Capital
- Notes on all adjustments made to normalize Net Income
What if my Tax Returns show a Net Loss? Will this affect my valuation? +
- A Net Loss may lead to a lower valuation, but the process can identify key areas to focus on in order to grow the value over time.
- Adjustments for non-recurring expenses or personal expenses are made, to normalize Net Income and may lead to a positive value.
- An asset sale may be recommended in such cases.
- Having a valuation completed early, even if it is negative, allows for more time to grow value and identify areas needing improvement prior to a sale.

Yes, a Valuation Contract Agreement ensures confidentiality, authorizes payment and outlines deliverables.
What is the Transaction Simulator, and how will it help me? +
- Assesses cash flow impacts for both buyer(s) and seller(s) based on sale price, interest rates and various other terms.
- Current Financial Statements are reviewed to estimate future dividends and Coach explains how a shareholder program would work
- Owners can see how internally financing a shareholder loan will look and understand how to succeed without requiring shareholders to go to a bank
How long does the valuation and succession planning process take? +
- Valuation: 2-4 weeks.
- Succession Planning Additional calls: 1-3 months based on complexity and Owner’s timeline.
